The primary role of the Board is to ensure the long-term health and prosperity of Macquarie Group Limited. The Board meets at least monthly and Board papers make Voting Directors aware of current and forthcoming issues relevant to Macquarie Group's operations and performance. The Board has also approved a policy that all Independent Voting Directors will meet at least once per year in the absence of management and at other times as they shall determine. The convenor of such meetings will be the Chairman of the Corporate Governance Committee. The Board and its Committees have determined other practices to assist it in fulfilling its functions and ensuring that it remans an effective decision-making body.
