The Board is committed to Macquarie seeking to achieve superior financial performance and long-term prosperity, while meeting stakeholders’ expectations of sound corporate governance practices. The Macquarie Group Limited Board is composed of a majority of Independent Directors, and the Board, in conjunction with the Board Corporate Governance Committee, determines the most appropriate corporate governance arrangements for Macquarie. Macquarie has reviewed the corporate governance practices of Macquarie in light of the Second Edition of the ASX Corporate Governance Council's Principles and Recommendations released in August 2007. The Principles and Recommendations provide a general reference in determining good practice, while recognising that one size does not fit all. Macquarie substantially complies with the Recommendations and has included on this website the information that the Principles recommend be disclosed on a company's website. However, in areas where it is appropriate Macquarie will depart from the Principles and Recommendation. Reasons for any such departures will be explained in the Corporate Governance Statement in the Annual Report.
