MIG Announces Completion of Acquisition of Additional Interest in Highway 407

Macquarie Infrastructure Group (MIG) today announced that it had completed the acquisition of an additional direct and indirect fully diluted 18.45% interest in 407 International Inc. - the concession owner for Highway 407. As a result of the finalisation of the acquisition, MIG's fully diluted direct and indirect interests total 42.97%, making MIG a significant investor in the asset.

As announced on 20 March 2002, MIG entered into several agreements for the acquisition, namely:

  • The acquisition by MIG of a convertible subordinated debenture held by Canadian fund manager, Capital d' Amérique CDPQ Inc.. The debenture, which will be converted to equity in May 2004, is the equivalent of 16.13% of the total equity of 407 International Inc. once the debenture has been converted; and
  • The subscription for additional equity in Cintra Concesiones de Infraestructuras de Transporte S.A (Cintra) (in which MIG has a 40% interest) enabling Cintra to acquire an additional 5.8% fully diluted interest in 407 International Inc. from Canadian engineering and construction group, SNC-Lavalin Inc. The additional equity was funded on a pro-rata basis by MIG and Grupo Ferrovial.

As a result of the finalisation of the acquisition, the fully diluted interests are as follows:

Commenting on the completion of the acquisitions, MIG Managing Director, Anthony Kahn, said "we are very pleased to have increased our interest in Highway 407 and are committed to continuing the high standard of service delivery to the growing 407 customer base."
