Constitution Amendments

At the 29 October 2003 MIG Annual General Meeting unitholders approved an amendment to the Macquarie Infrastructure Trust (I) (MIT(I)) and Macquarie Infrastructure Trust (II) (MIT(II)) constitutions to facilitate the issue of securities under the MIG Distribution and Dividend Reinvestment Plan at an up to 10% discount to market price.

 The following documents giving effect to that amendment are attached:

• MIT(I) Fifth Supplemental Deed (pdf 55Kb);
• MIT(II) Fifth Supplemental Deed (pdf 77Kb);
• MIT(I) Consolidated Constitution incorporating the Fifth Supplemental Deed amendment (pdf 470Kb); and
• MIT(II) Consolidated Constitution incorporating the Fifth Supplemental Deed amendment (pdf 497Kb).
